User Agreement

Welcome to Pyaza. Our mission is to connect emerging technology professionals, enthusiasts, and businesses, fostering knowledge sharing, networking, and innovation across industries such as blockchain, crypto, iGaming, Fintech, and Web3 industries. Our services are designed to promote collaboration, learning, and growth opportunities within a trusted network of industry peers. By using our platform, you agree to abide by the terms outlined in this agreement.

By registering, accessing, or using Pyaza's services (the "Services"), you agree to enter into a legally binding contract with Pyaza Limited ("Pyaza," "we," or "us"), located at 29, San Gwann Street, Gharghur, Malta. This agreement covers all Services provided by Pyaza on our ‘Platform’ (as defined below), and any other related offerings.

“Platform” and/or “Services” refers to the entire suite of services, websites, applications, and related digital infrastructure owned, operated, or offered by Pyaza, including but not limited to the Pyaza website, mobile applications, and any other interactive features, widgets, or tools made available by Pyaza. This includes any digital interfaces, plugins, and API services offered by Pyaza.

If you do not agree to this User Agreement (the "Agreement"), please do not access or use our Platform or Services.

This Agreement also incorporates our Privacy Policy and Cookie Policy, which explain how we collect, store, and process personal information.

1.2 Members and Visitors

By registering on Pyaza, you become a "Member." Non-registered users who visit the site are referred to as "Visitors." This Agreement applies to both Members and Visitors.

1.3 Modifications

We may modify this Agreement, our Privacy Policy, or our Cookie Policy from time to time. You will be notified of significant changes through the platform. We agree that changes cannot be retroactive. If you object to any changes, you may close your account. Continued use of our Services after any changes are made constitutes your acceptance of the new terms.

2. Obligations

2.1 Service Eligibility

To use Pyaza's services, you must meet certain eligibility criteria to ensure compliance with legal and platform standards. By registering for an account or using our Services, you confirm that you meet the following conditions:

Age Requirements:

You must be at least the "Minimum Age" to register for and use Pyaza's Services. The Minimum Age is 18 years old, unless applicable law requires a higher age in your jurisdiction to provide consent to the processing of personal data or to enter into legally binding agreements.

If local laws in your jurisdiction require parental consent for the use of services like Pyaza’s, or if the law limits our ability to collect and process your data until you reach a higher age, the "Minimum Age" will be such higher age as required by law. In such cases, you must refrain from using Pyaza until you meet these requirements.

One Account Policy:

You agree to maintain only one personal account on Pyaza. The account must be registered in your real name, and you may not create an account on behalf of anyone else (except when acting as an authorized representative of a company or organization).

Having multiple accounts for the same individual, creating accounts with false identities, or impersonating others is strictly prohibited and may lead to account suspension or permanent bans.

No Prior Restrictions:

You may not use Pyaza’s Services if you have been previously banned or restricted from the platform. Any attempt to circumvent account restrictions by creating a new account or using someone else’s account is a violation of this Agreement and will result in immediate termination of access.

Pyaza reserves the right to refuse access to any individual or organization who has violated any of the platform's terms, whether during prior usage or under a different account.

Compliance with Laws:

You agree to comply with all applicable local, state, national, and international laws and regulations when using Pyaza’s Services. Pyaza is not responsible for any illegal activity conducted by users on the platform. It is your responsibility to ensure that your use of Pyaza complies with all applicable laws in your jurisdiction, including those related to data privacy, online conduct, intellectual property, and export control laws.

Geographic Restrictions:

Pyaza’s Services may not be available in all regions. We may restrict or limit access to our platform in certain countries or jurisdictions where offering the Services would violate local laws or regulatory requirements.

If you are located in a country that is subject to trade embargoes or sanctions, or any other legal restrictions prohibiting the use of online services, you may not use Pyaza. It is your responsibility to ensure that your use of Pyaza complies with applicable laws and restrictions in your jurisdiction.

Business Use:

If you are creating an account for business purposes, including representing a company, organization, or other entity, you warrant that you are authorized to bind the entity to this Agreement. All actions taken under the account must comply with this Agreement, and the entity is responsible for ensuring compliance by all authorized users.

Prohibited Users:

The following individuals and entities are prohibited from using Pyaza's Services:

Individuals under the "Minimum Age" as defined above.
Individuals previously terminated or restricted from using Pyaza.
Individuals using false identities or impersonating others.
Entities subject to international sanctions or embargoes that prohibit access to Pyaza’s services.

By registering for or using Pyaza, you confirm that you meet these eligibility criteria. Any breach of the above conditions may result in suspension or permanent termination of your account, and you may be subject to further legal actions where appropriate.

2.2 Your Account

You are fully responsible for maintaining the confidentiality of your login credentials, including your password, and for all activities that occur under your account. By using Pyaza, you agree to:

Keep Your Password Secure:

You must choose a strong and secure password for your account and ensure it remains confidential. This includes not disclosing your password to any third party, whether knowingly or through negligence.

You are responsible for ensuring that your password is changed regularly to mitigate potential security risks.

Prevent Unauthorized Access:

You must not share your account credentials with others, including colleagues, friends, or family members. Each account is personal to you, and you must take reasonable precautions to prevent unauthorized access or misuse of your account.

In the event that you believe your account has been compromised or used without your permission, you must notify Pyaza immediately at [email protected]. Pyaza will not be liable for any losses or damages arising from unauthorized use of your account, provided we have fulfilled our obligations to secure our platform.

Accurate and Updated Information:

You must ensure that all information associated with your account, including your name, contact details, and any other personal data, is accurate, complete, and kept up-to-date at all times. Providing false or misleading information may result in the suspension or termination of your account.

You are also responsible for promptly updating your account if any of your information changes. This includes email addresses, phone numbers, and any other contact information used for communication or verification.

Activity on Your Account:

You are responsible for all actions taken through your account. This includes any content shared, messages sent, or transactions made, whether or not authorized by you, unless you have promptly reported any misuse to Pyaza.

Any use of your account that violates this Agreement or any applicable laws may result in the suspension or termination of your account.

Business or Organization Accounts:

If you create an account on behalf of a company, organization, or any other entity, you represent and warrant that you have the authority to bind that entity to this Agreement. Any accounts created for businesses must be managed by authorized representatives only, and all activities conducted through such accounts are the sole responsibility of the organization and its representatives.

The organization is responsible for ensuring that its authorized users comply with this Agreement and for any actions taken by those users under its account.

Security Breaches:

You agree to immediately notify Pyaza of any unauthorized use of your account, or any other breach of security. Pyaza will take necessary actions to secure your account upon notice of such breaches.

You acknowledge that, while Pyaza employs advanced security measures to protect user accounts, the security of your account also depends on your responsibility to safeguard your login credentials and follow best practices for online security.

2.3 Payment Obligations

By purchasing any paid services on Pyaza, including but not limited to premium features, event hosting services, and marketplace transactions, you agree to the following terms regarding payment obligations:

Payment for Services:

If you choose to access or purchase any paid services on the Pyaza Platform, you agree to pay all applicable fees and charges as outlined at the time of purchase. You authorize Pyaza to charge your selected payment method for all services, including applicable taxes and other charges, if required by law.

Automatic Subscription Renewals:

For any subscription-based services, your subscription will automatically renew at the end of the applicable subscription period (monthly or annually), unless you cancel the subscription prior to the renewal date. Upon renewal, you will be charged the then-current rate for the subscription.

You may cancel your subscription at any time by visiting your account settings. The cancellation will take effect at the end of your current billing period, and you will continue to have access to the paid service until the period concludes. No prorated refunds will be issued for partial months or years.

Handling of Payment Information:

You agree that Pyaza may store and continue billing your selected payment method, even after it has expired, to prevent interruptions in your access to paid services and ensure continuity of service. You are responsible for ensuring that your billing information, including your payment method, is up-to-date at all times.

Pyaza utilizes third-party payment processors to securely process payments. Your payment information (e.g., credit card details) is stored securely by our third-party payment providers and not directly by Pyaza. You agree to the storage, transmission, and processing of your payment data by these third-party processors.

Taxes and Fees:

All applicable taxes (such as VAT or sales tax), as well as any currency exchange fees, will be added to your total at checkout, based on your billing information and the laws applicable in your location. You are solely responsible for paying all taxes and charges related to your purchases, unless otherwise stated.

If you change your place of residence or billing address, you must update your billing details to ensure the correct taxes are applied.

Refund Policy:

Payments for Pyaza's services, including subscription fees and other charges, are non-refundable, except where required by law. Pyaza reserves the right to offer refunds or credits at its sole discretion, and any refund or credit issued will be considered a one-time gesture and does not obligate Pyaza to offer the same or similar refunds in the future.

Failed Payments:

If Pyaza is unable to charge your selected payment method due to insufficient funds, expiration, or for any other reason, you will be notified and required to provide an alternative payment method. Failure to resolve payment issues may result in the suspension or termination of your access to Pyaza’s paid services.

If your payment method fails during an automatic renewal process, Pyaza reserves the right to retry charging your payment method before terminating your service.

Price Changes:

Pyaza reserves the right to change the prices for its paid services at any time. You will be provided with notice of any price changes before they take effect. If you do not agree to the price changes, you may cancel your subscription or service before the next billing cycle. Continuing to use the service after a price change will constitute acceptance of the new pricing.

Invoicing and Billing:

For business users or upon request, Pyaza will provide invoices for payments made on the Platform. You can access your billing information, including purchase history and receipts, through your account settings.

In certain cases, additional terms may apply to specific paid services, which will be made available to you at the time of purchase.

2.4 Notices and Communications

You agree to receive communications from us through the Pyaza platform, email, or other contact information you provide. It is your responsibility to keep this information up-to-date.

2.5 Sharing Content and User-Generated Material

When you use Pyaza, you are granted the ability to share a variety of content, including but not limited to, posting articles, linking to external sources, publishing in user profiles, engaging in group discussions, or sending direct messages to other users. By doing so, you agree to the following terms regarding content sharing:

When you share content on the Pyaza platform, whether through your profile, in dedicated spaces, as an article, in group posts, or through messages to other users, you acknowledge that your content may be seen, accessed, shared, and used by others. Content published in public areas of the Platform, such as articles and group posts, is visible to other users and may be indexed by search engines, making it publicly accessible outside of the Pyaza ecosystem.

You are responsible for the content you publish and share on Pyaza. You agree that any content, links, or messages you share will comply with applicable laws and Pyaza’s internal guidelines, including our Community Standards and any relevant Content Policies. You must ensure that your content does not infringe the intellectual property, privacy, or other legal rights of any third party.

When sharing content, including articles or links to other external sources, you warrant that you have the necessary permissions or rights to share such material. This includes ensuring that links to third-party articles or websites comply with copyright laws and that you have the legal right to distribute such content within the Pyaza Platform. If your content contains copyrighted material, you confirm that you have obtained the appropriate licenses, permissions, or rights to use and distribute that content.

Pyaza is not obligated to publish or retain any content you submit and reserves the right to remove or modify content that violates our policies, at any time, without notice. We encourage our users to report any content they believe is inappropriate or violates the rights of others, and Pyaza will act on such reports in accordance with its internal policies and applicable law.

When you post or share content, you are solely responsible for its accuracy, legality, and appropriateness. You agree not to post content that is defamatory, obscene, offensive, or illegal, and you agree to follow the Pyaza Content Guidelines when publishing any materials on the Platform. Failure to adhere to these guidelines may result in the removal of your content, temporary suspension, or permanent termination of your account.

Additionally, you acknowledge that Pyaza may retain copies of any content you post for a limited period for backup, legal compliance, or technical reasons, even after you have deleted such content or deactivated your account. Pyaza does not guarantee the continued availability of any content and may, from time to time, modify or remove content storage capacities or retention periods, as needed, to maintain the Platform’s functionality and integrity.

Finally, you agree that Pyaza is not responsible for any misuse of content that you share. When you share content, others may view, use, copy, modify, or distribute it, and Pyaza does not control how third parties interact with the content you make publicly available. You are encouraged to carefully consider the nature of any sensitive or proprietary information before sharing it on the Platform.

3. Rights and Limits

3.1 Your License to Pyaza

You own the content and information you provide to Pyaza, but by sharing any content on Pyaza, you grant Pyaza a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing and promoting the Platform. This license is required to operate the Platform and to allow other users to engage with the content you post. You can revoke this license by deleting the specific content or closing your account, but please note that any shared content that has been reshared by others may still remain accessible to them. Content you have posted in private messages will not be publicly shared by Pyaza, but it may still be subject to legal access by law enforcement or other authorities as required by applicable law.

The license you grant to Pyaza is limited in the following ways:

You may terminate this license for specific content by deleting the content from the Platform or generally by closing your account. However, this does not apply to (a) content that has been shared with others who have subsequently copied, reshared, or stored it, and (b) the reasonable time it may take to remove the content from backup and other systems.

Pyaza will not include your content in advertisements for the products and services of third parties without your separate consent. However, Pyaza reserves the right to display advertisements near or alongside your content and may make your social actions (such as likes, comments, or shares) visible alongside these ads, in accordance with your account settings and our Privacy Policy. If you use any Service feature, Pyaza may highlight your use of that feature in order to promote it, including mentioning your name or profile photo within the platform.

We will seek your consent if we wish to grant others the right to publish your content beyond Pyaza’s Platform. However, if you choose to share content publicly (such as through posts marked “public”), Pyaza enables features that allow others to embed that content on third-party websites, and such content may also be indexed by search engines.

Although Pyaza may make formatting changes to your content (such as resizing, translating, or removing metadata), we will not alter the meaning of your expression. Your content will remain as you originally intended, subject to any required formatting modifications for technical purposes.

Because you retain ownership of your content and information, and Pyaza only holds non-exclusive rights to it, you may also choose to license your content to others, including under the terms of a Creative Commons license if applicable.

You and Pyaza agree that if your content contains personal data, such data will be handled in accordance with our Privacy Policy. You grant Pyaza the right to access, store, process, and use any personal information provided in accordance with the Privacy Policy and any preferences you have set in your account settings.

By submitting feedback, suggestions, or other forms of input to Pyaza regarding our Platform and Services, you grant Pyaza the right to use and share that feedback for any purpose without compensation to you. This license is perpetual and irrevocable, though you retain ownership of the underlying ideas or content.

You agree to only provide content or information that you have the legal right to share. By using the Platform and Services, you promise that any content or information you provide does not violate any laws or infringe on the rights of others, including intellectual property rights. Pyaza may be required by law to remove certain content in specific jurisdictions, and we reserve the right to do so in compliance with local laws and regulations.

3.2 Service Availability

Pyaza may modify, suspend, or discontinue any of its Services, features, or functionalities at any time, without prior notice, at our sole discretion. While we strive to maintain continuous access to the Platform, we do not guarantee the continued availability of any specific service, feature, or functionality. You acknowledge and agree that the nature of our services may evolve over time, and certain features may be added, removed, or modified as necessary to enhance the platform or comply with legal and operational requirements.

Additionally, Pyaza is not a data storage service. We do not guarantee that any user-generated content, including but not limited to profiles, articles, posts, messages, or shared links, will remain available or accessible on the Platform. Pyaza has no obligation to store, maintain, or provide you with a copy of any content or information that you or others submit to the Platform. While we may retain backups of user content for a limited period for operational or legal purposes, we make no commitments regarding the length of time your content will be preserved.

It is your responsibility to back up any content or information that you wish to retain outside of the Platform. Pyaza assumes no liability for the deletion, loss, or failure to store any content, whether caused by technical issues, operational changes, or any other reason. If you choose to remove your content or close your account, you acknowledge that content previously shared with others may remain accessible to those users, and Pyaza is not responsible for the retention or deletion of such content.

In the event of service disruptions or modifications, Pyaza will, where possible, attempt to notify users in advance; however, such notifications may not always be feasible or timely. By using the Platform, you accept the inherent risks involved in relying on cloud-based services and understand that any content you share or store on the Platform is subject to removal or alteration at any time.

3.3 Third-Party Content and Services

By using Pyaza’s Platform and Services, you may encounter content, products, services, and information that are created or provided by other users or third parties. The use of such content, products, or services is entirely at your own risk. Pyaza does not endorse, verify, or guarantee the accuracy, completeness, legality, reliability, or appropriateness of any content provided by other users, third parties, or linked external sources.

You acknowledge that content posted by other users on Pyaza, whether in the form of articles, group posts, direct messages, links to external content, or other formats, may be inaccurate, incomplete, outdated, misleading, offensive, illegal, or otherwise harmful. While Pyaza provides mechanisms for reporting inappropriate content, we generally do not review or pre-screen content posted by our users. You agree that Pyaza is not responsible for the actions, omissions, or statements of other users or third parties on the platform, including the accuracy, quality, or legality of the content they provide.

When engaging with content or services offered by others on the Platform, you understand and agree that:

Third-Party Products and Services: Other users or third parties may offer products or services through Pyaza, such as professional consulting, event organizing, or educational offerings. Pyaza does not control, supervise, or monitor these services, and is not responsible for the performance or quality of any third-party products or services. You acknowledge that any agreements, transactions, or interactions between you and such third-party service providers are strictly between you and the provider. Pyaza disclaims all liability arising from such interactions, and does not endorse or warrant the legitimacy, qualifications, or suitability of any third-party offering services on the platform.
No Endorsement of Content or Users: Pyaza does not endorse any particular user, group, or content published on the platform. The presence of content, links, or services on Pyaza does not constitute an endorsement, recommendation, or verification by Pyaza, and we disclaim all responsibility for any reliance you place on information provided by others on the platform.

By using the Services, you may also be associated with or linked to certain content or information created by others, whether directly or indirectly. For example, if you are mentioned in a post or tagged in an article, your profile may be associated with that content. You agree that Pyaza is not responsible for any potential association, misinterpretation, or reputation impact resulting from such content created by other users or third parties. While we provide certain settings and features that may allow you to control some aspects of how you are mentioned or tagged, Pyaza cannot prevent or mitigate all risks related to unwanted associations or reputational harm.

Third-Party Apps and External Links: Pyaza may contain links to third-party websites, apps, or resources, or it may allow third-party apps or services to interact with the Platform. Pyaza does not control, monitor, or review these third-party platforms, and we are not responsible for their content, functionality, privacy practices, or security. You acknowledge that your use of any third-party websites, apps, or services is entirely at your own risk, and you should review their respective terms and policies before using them. Pyaza disclaims all liability for any harm or loss resulting from your use of third-party apps, services, or links accessed through the Platform.

Events and Services Offered by Users: Pyaza may facilitate connections between users offering services (such as professional consulting or event organizing) and users seeking such services. However, Pyaza is not responsible for the quality, performance, or legality of any such services. Pyaza does not monitor, supervise, or direct users offering services on the Platform, and no employment, agency, or joint venture relationship is created between Pyaza and users offering or seeking services. If you are a user offering services, you represent and warrant that you have the necessary qualifications, licenses, or certifications to provide such services and that you will comply with all applicable laws and Pyaza’s Community Guidelines. Any disputes between users regarding services offered or provided are the sole responsibility of the users involved, and Pyaza disclaims all liability for any such disputes or outcomes.

Similarly, Pyaza may allow users to register for or attend events organized by other users. You agree that Pyaza is not responsible for the conduct of event organizers, attendees, or participants at such events. Pyaza does not endorse or vet any specific event, and it is your responsibility to ensure that you comply with any terms or conditions associated with the events. Pyaza disclaims all responsibility for any issues arising from your participation in events organized by third parties or other users.

By using Pyaza’s platform, you understand that all content, interactions, and services provided by third parties or other users are used at your own discretion and risk. You agree that Pyaza is not responsible for the actions, information, or services of third parties and users, and you release Pyaza from any liability arising from your use of such content or services.

3.4 Limits

Pyaza reserves the right to limit how you interact with and use our Platform and Services. To ensure a safe, productive, and compliant environment for all users, Pyaza may impose restrictions on your usage, including but not limited to the number of connections you can establish, the number of messages or content you can post, and the frequency of your interactions with other users.

We may also limit your access to certain features or sections of the Platform if we determine that your activity is in violation of this Agreement, Pyaza’s Community Guidelines, or any applicable laws. Pyaza further reserves the right to:

Restrict or suspend your account: If you engage in behavior that violates this Agreement, or if we detect any misuse of the Services (such as spamming, harassment, or engaging in prohibited activities), we may restrict, suspend, or terminate your account at our discretion, without prior notice.
Terminate your access to the Platform: In cases of severe breaches, repeated violations, or illegal activities, Pyaza may permanently terminate your account and remove your access to the Platform. This includes cases where you have failed to comply with the Pyaza Dos and Don’ts, Professional Community Policies, or any other applicable platform rules.
Enforce limitations on specific actions: Pyaza may impose limits on your ability to contact other users, send messages, create posts, or join groups if such actions are deemed excessive, disruptive, or in violation of platform rules. We may also limit access to features if required by legal or operational reasons.

If your account is restricted or terminated, you may lose access to all or part of your content, connections, and other data associated with your account. Pyaza will not be liable for any loss of data or opportunities as a result of such limitations, restrictions, or terminations.

These limitations are designed to protect the integrity of the Platform and to ensure that all users can engage in a safe, respectful, and productive manner. Pyaza retains full discretion in determining when and how to impose limits on user activities in line with this Agreement and its enforcement policies.

3.5 Intellectual Property

All intellectual property related to the Pyaza platform, including logos, trademarks, and software, belongs to Pyaza or its licensors. You are not allowed to copy, distribute, or modify Pyaza's intellectual property without our consent.

3.6 Automated Processing and Personalized Suggestions

Pyaza uses the data and information you provide, along with data collected about your activity on the Platform, to enhance your user experience by making personalized recommendations for connections, content, and features that may be relevant to you. By leveraging this information, Pyaza can provide a more tailored experience to help you engage with the Platform more effectively.

We use automated systems, including algorithms and machine learning, to process your data and activity to offer personalized suggestions. These suggestions may include:

Connections: Based on your profile, industry, or professional interests, we may recommend connections with other users who share similar interests, backgrounds, or experiences. This could include individuals within your professional network or those engaging in similar discussions on the Platform.
Content and Articles: Pyaza may recommend articles, posts, or discussions that align with your indicated interests, groups you’ve joined, or interactions you’ve had with other users. These recommendations are intended to keep you informed about relevant topics in emerging technology sectors such as blockchain, iGaming, Fintech, and Web3.
Features and Tools: Depending on your usage patterns and preferences, we may recommend platform features, events, or tools that may help you connect with others, host events, or engage in educational content.

We aim to make these recommendations as accurate and relevant as possible by continuously analyzing various data points, such as:

Your Profile Information: This includes your role, skills, location, and industries you’ve indicated as interests.
Your Activity: The content you engage with, groups you join, articles you read or post, and users you interact with. The more actively you engage with the Platform, the more relevant the suggestions and recommendations will be.
Your Connections: Recommendations are also influenced by your connections and the content they share, follow, or engage with.

Pyaza may also use automated processes to prioritize the content you see in your feed, ensuring that the most relevant and high-quality content appears first. This could include posts from your connections, groups, or articles based on your past engagement and interests.

By keeping your profile accurate and updated, and by actively engaging with content on the Platform, you help us refine the recommendations and suggestions we provide to you, making them more relevant and personalized.

While Pyaza works to provide personalized content and suggestions, we also give you control over your experience. You can:

Adjust your settings to control how suggestions and recommendations are presented to you.
Follow or unfollow users, or spaces to influence the content you see.
Report or hide content that you find irrelevant or inappropriate, and mute certain recommendations if they are no longer useful.

You understand and agree that the automated recommendations made by Pyaza are based on the data and preferences we analyze and may not always be perfect. While we strive to provide a high-quality, personalized experience, you acknowledge that certain content or connections may still not meet your expectations or preferences.

All automated processing of your data is conducted in accordance with our Privacy Policy, and you have the right to modify your settings to control how your data is used for such processing. Pyaza’s use of your personal data in automated processing is compliant with relevant data protection regulations, including the General Data Protection Regulation (GDPR) for EU users.

4. Disclaimer and Limitation of Liability

4.1 No Warranty

Pyaza provides its Services on an "as is" and "as available" basis. You use the Pyaza platform at your own risk. Pyaza makes no representations or warranties, express or implied, regarding the Services or any content, information, or materials available through the platform, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, or non-infringement.

We do not guarantee that the Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. Pyaza cannot guarantee the continuous, uninterrupted, or error-free operation of the Services or that the Services will meet your expectations or requirements.

To the fullest extent permitted by law, Pyaza disclaims all warranties, whether express or implied, regarding the reliability, security, quality, suitability, timeliness, accuracy, or completeness of the Services. This disclaimer applies to any damages or harm caused by the Services, including but not limited to any content provided by other users or third parties, any disruptions to the availability or accessibility of the platform, or any unauthorized access to or use of your personal information or account.

You acknowledge that the use of Pyaza and any content or services provided through the platform is entirely at your own discretion and risk, and you are solely responsible for any damages or losses that result from such use.

4.2 Limitation of Liability

To the fullest extent permitted by law, Pyaza, including its affiliates, officers, directors, employees, agents, licensors, and partners, shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses arising from or relating to your use of the Platform or the Services, or your inability to access or use the Platform or Services. This includes, but is not limited to, damages resulting from:

Errors, mistakes, or inaccuracies of content.
Unauthorized access to or use of your account, personal information, or any data stored on the platform.
Any interruption, suspension, or termination of the Services.
Any bugs, viruses, or similar issues transmitted through or from the platform.
The acts, omissions, or statements of any third-party users or external websites, apps, or services linked through Pyaza.

In jurisdictions where limitations of liability for incidental or consequential damages are not permitted, Pyaza’s liability shall be limited to the fullest extent allowed by applicable law.

Pyaza’s total liability to you for any claims arising out of or related to the Services or the Platform, whether in contract, tort, or otherwise, shall not exceed the total amount you have paid to Pyaza for the Services during the twelve (12) months immediately preceding the date of the claim. If you have not paid any fees to Pyaza for the Services, Pyaza’s total liability shall be limited to an amount of €100 EUR or its equivalent in your local currency.

In no event shall Pyaza be responsible for any failure or delay in the performance of its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil disturbances, labor disputes, internet outages, or governmental actions.

4.3 Basis of the Bargain

You acknowledge that Pyaza has set its prices and provided access to its Platform and Services based on these limitations of liability and disclaimers of warranties. These provisions form an essential basis of the bargain between you and Pyaza, and without these limitations, the terms and conditions of this Agreement would be substantially different.

5. Termination

Both you and Pyaza have the right to terminate this Agreement at any time, with or without cause, by providing notice to the other party. Upon termination, your right to access and use the Platform and any related Services will immediately cease. You will no longer have access to your account, any content you have submitted, or any features or functionalities of the Platform.

Termination of this Agreement does not relieve you of any obligations or liabilities that have accrued prior to termination, nor does it affect any rights, remedies, or protections that either party may have under this Agreement or under applicable law. Specifically, any provisions of this Agreement relating to intellectual property rights, disclaimers of warranties, limitations of liability, indemnification, and dispute resolution will survive termination and remain in full force and effect.

Pyaza reserves the right to permanently delete or retain any content or information associated with your account after termination in accordance with its Privacy Policy and applicable law. Additionally, if your account is terminated due to a violation of this Agreement, Pyaza may take further actions, including but not limited to restricting your ability to create a new account or access other Pyaza services in the future.

Both you and Pyaza may terminate this Agreement at any time. Upon termination, you lose the right to access our Platform and related services. Any provisions relating to intellectual property, disclaimers, and limitations of liability will survive termination.

6. Governing Law and Dispute Resolution

If you are a resident of the EU or EEA, this Agreement will be governed by the laws of Malta, where Pyaza is headquartered. Any disputes arising out of or related to this Agreement will be resolved exclusively by the courts of Malta, unless otherwise required by applicable consumer protection laws in your jurisdiction.

For users outside the EU or EEA, the laws of your jurisdiction may apply if local consumer protection laws mandate that the laws of your jurisdiction govern this Agreement or disputes related to the use of our Platform or Services. In such cases, disputes will be resolved in accordance with the laws and courts of your jurisdiction. Otherwise, this Agreement will be governed by the laws of Malta, and disputes will be subject to the exclusive jurisdiction of the courts of Malta.

7. General Terms

This Agreement constitutes the entire understanding and agreement between you and Pyaza regarding your use of our Platform and Services, and supersedes any prior agreements, communications, or understandings (whether oral or written) related to your use of the Platform or Services. No other terms or conditions will apply unless specifically agreed upon in writing by you and Pyaza.

If any provision of this Agreement is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will continue in full force and effect. The unenforceable provision shall be deemed modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, it shall be severed from this Agreement, and all other provisions shall remain in effect.

Pyaza’s failure to enforce any right or provision in this Agreement does not constitute a waiver of such right or provision, nor does it waive our right to enforce such provision at a later date. No waiver by Pyaza of any breach or default under this Agreement will be deemed a waiver of any preceding or subsequent breach or default.

You may not assign or transfer this Agreement, in whole or in part, without Pyaza’s prior written consent. Pyaza may assign or transfer this Agreement, in whole or in part, to its affiliates or in connection with a merger, acquisition, sale of assets, or other corporate restructuring without notice or consent.

There are no third-party beneficiaries to this Agreement, and this Agreement does not create any legal rights for any entity or individual who is not a party to this Agreement.

All notices required or permitted under this Agreement shall be in writing and delivered by electronic means or by physical mail to the contact information you have provided, or as otherwise set out by Pyaza in its communications or on the Platform.

This Agreement constitutes the entire agreement between you and Pyaza regarding your use of our Platform and Services. If any part of this Agreement is found unenforceable, the remaining terms will still apply.

8. Pyaza “Dos and Don’ts”

Pyaza is a community designed for professionals and individuals involved in emerging technologies. The following list of “Dos and Don’ts,” along with our Community Guidelines, outlines what is and isn’t allowed when using our Platform and Services.

8.1. Dos

You agree that you will:

Comply with all applicable laws: This includes, without limitation, privacy laws, intellectual property laws, anti-spam laws, tax laws, export control laws, and regulatory requirements.
Provide accurate information: Ensure that the information you provide to Pyaza is accurate, up-to-date, and truthful. This includes your profile details, contact information, and any other data you submit through the Platform.
Use your real identity: Your profile should represent you as a real person or a legally recognized entity (such as a business or organization) with your real name, professional qualifications, and accurate details. Do not create fake or misleading profiles.
Use the Services in a professional manner: Pyaza is a professional platform. Interact respectfully with other users and use the Platform for its intended purpose, such as professional networking, knowledge sharing, event hosting, and engaging in emerging technologies.

8.2. Don’ts

You agree that you will not:

Misrepresent your identity or create multiple accounts: Do not create a false identity, use a profile for anyone other than yourself (a real person), or attempt to use another user's account without their permission.
Scrape or harvest data: You must not develop, support, or use software, bots, crawlers, scripts, robots, or any other automated means to scrape data, copy profiles, or extract information from the Platform, whether for personal use or to share with third parties.
Bypass security features: Do not override, bypass, or circumvent any access controls or security features of the Platform, or attempt to exploit vulnerabilities in Pyaza’s infrastructure.
Disclose unauthorized information: You must not share or disclose confidential information that you do not have the right or consent to disclose, such as proprietary business data, trade secrets, or personal information belonging to others, including employers or clients.
Infringe on intellectual property rights: Do not copy, distribute, or share content that violates the intellectual property rights of others, including copyrights, trademarks, patents, or trade secrets. This applies to both Pyaza’s proprietary content and that of other users. For example, do not share content posted by others unless it is through available platform-sharing functions.
Violate Pyaza’s intellectual property: Do not copy or distribute Pyaza’s proprietary technology, software, or materials without express permission, except where such materials are licensed for open-source use. Additionally, do not use Pyaza’s name, logos, or branding in any unauthorized business name, domain, or marketing material without prior written consent.
Post harmful or malicious content: Do not upload, post, or share content that contains viruses, malware, worms, or any other harmful code designed to damage or interfere with the Platform or other users' devices.
Reverse engineer Pyaza’s technology: You may not attempt to reverse engineer, decompile, disassemble, decipher, or otherwise derive the source code for Pyaza’s Services, software, or any related technology that is not explicitly provided as open-source.
Imply affiliation with Pyaza: Do not claim an endorsement, partnership, or affiliation with Pyaza without express written consent, including but not limited to using Pyaza’s name, logo, or other branding inappropriately.
Monetize access to the Services without consent: You may not rent, lease, loan, sell, trade, or resell access to Pyaza’s Services, content, or user data without explicit permission from Pyaza.
Use bots or automated methods: You may not use bots, automated tools, or scripts to access, add, or download contacts, send messages, or interact with the Services in any way that violates Pyaza’s policies.
Monitor for competitive purposes: You may not monitor the availability, performance, or functionality of Pyaza’s Services for competitive analysis or other commercial purposes.
Interfere with the Platform’s operation: You must not engage in actions that interfere with the normal operation of the Platform or place an unreasonable load on Pyaza’s infrastructure, such as spamming, denial-of-service attacks, or the use of automated gaming algorithms.
Alter the appearance of the Platform: You may not overlay or modify the appearance of the Platform by inserting, covering, or removing elements from the interface, including altering or blocking advertisements without permission.
Engage in unlawful or prohibited activities: You must not use the Platform for any unlawful, harmful, or prohibited activities, including, but not limited to, the promotion of illegal goods or services, harassment, discrimination, hate speech, or any other activity that violates Pyaza’s Community Guidelines.
Violate Pyaza’s Community Guidelines: You must adhere to Pyaza’s Community Guidelines and any additional terms concerning specific Services when using the Platform.
